1. Introduction

Welcome to JasperOps (the "Platform"), operated by JasperOps LLC ("Company", "we", "us", "our"). These Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "your", "User") and JasperOps regarding your use of the Platform.

By accessing or using JasperOps, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Platform.

JasperOps is an all-in-one jewelry business management platform that provides tools for inventory management, production management, custom orders, repair management, certificate management, multi-outlet operations, point of sale (POS), customer relationship management (CRM), and analytics.

2. Definitions

"JasperOps" or "Platform" means the software-as-a-service platform provided by JasperOps LLC, including all features, modules, and functionalities.

"User" or "you" means any individual or entity that accesses or uses the Platform.

"Merchant" means a business entity that uses JasperOps to manage its jewelry business operations.

"Outlet" means a physical or virtual location (retail store, workshop, warehouse, or showroom) managed through JasperOps.

"Subscription" means the recurring payment plan chosen by the User to access the Platform.

"Content" means any data, information, images, files, or materials uploaded or created by Users on the Platform.

"Confidential Information" means any information disclosed by one party to the other that is designated as confidential or reasonably should be understood to be confidential.

3. Account Registration

3.1 Account Creation

To access JasperOps, you must create an account by providing accurate, complete, and up-to-date information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Account Security

You agree to:

• Keep your password confidential — Do not share your credentials with others.
• Notify us immediately of any unauthorized use of your account.
• Use strong passwords — We recommend using a combination of letters, numbers, and special characters.
• Enable two-factor authentication when available.

3.3 Age Requirement

You must be at least 18 years old to create an account and use JasperOps. By creating an account, you represent that you meet this age requirement.

4. Subscription & Pricing

4.1 Pricing Plans

JasperOps offers a core plan that includes 1 outlet and all core features. Additional outlets can be added for a monthly fee. Pricing is displayed on our Pricing page and may be updated from time to time.

Core Plan: $79.00/month (includes 1 outlet, unlimited users, all features)

Additional Outlet: $19.00/month per outlet

Unlimited Users: Free — no per-user fees

4.2 Billing and Payment

Subscriptions are billed in advance on a monthly basis. Payment is processed through our secure payment partners (Lemon Squeezy, Stripe, or PayPal). By subscribing, you authorize us to charge your payment method for the applicable fees.

4.3 Free Trial

JasperOps offers a 14-day free trial for new Users. The trial includes all features of the core plan. At the end of the trial period, your subscription will automatically convert to a paid plan unless you cancel before the trial ends.

4.4 Cancellation

You may cancel your subscription at any time from your account settings. If you cancel, your subscription will remain active until the end of the current billing period. No refunds are provided for partial billing periods.

5. User Obligations

5.1 Accurate Information

You agree to provide accurate, current, and complete information when creating your account and updating your profile. You are responsible for maintaining the accuracy of your information.

5.2 Compliance with Laws

You agree to use JasperOps in compliance with all applicable local, national, and international laws and regulations, including but not limited to:

• Jewelry industry regulations
• Data protection and privacy laws
• Anti-money laundering (AML) laws
• Consumer protection laws

5.3 Your Content

You retain ownership of all Content you upload to JasperOps. By uploading Content, you grant us a non-exclusive, worldwide, royalty-free license to store, process, and display your Content as necessary to provide the Platform's services.

6. Prohibited Activities

You agree not to:

• Use the Platform for illegal purposes — Including money laundering, fraud, or selling counterfeit jewelry.
• Infringe on intellectual property — Uploading content that infringes on copyrights, trademarks, or patents.
• Reverse engineer or decompile — Attempt to reverse engineer, decompile, or otherwise extract the source code of the Platform.
• Upload malicious code — Upload viruses, malware, or any code that could harm the Platform or other Users.
• Engage in data scraping — Use automated means to extract data from the Platform without authorization.
• Interfere with Platform operations — Disrupt, damage, or interfere with the Platform's functionality or network.
• Impersonate others — Pretend to be someone else or misrepresent your affiliation.

7. Intellectual Property

7.1 Platform Ownership

JasperOps and all related intellectual property, including but not limited to software, code, designs, trademarks, logos, and documentation, are the exclusive property of JasperOps LLC. You agree not to copy, modify, or create derivative works based on the Platform.

7.2 Your Content Ownership

You retain all rights to the Content you upload to JasperOps. By uploading Content, you grant JasperOps a license to store, process, and display your Content solely for the purpose of providing the Platform's services.

7.3 Feedback

If you provide feedback, suggestions, or ideas about the Platform, you agree that JasperOps may use, implement, and commercialize such feedback without any obligation to you.

8. Data Privacy

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and protect your personal data.

Key privacy commitments:

• Data ownership — You own your data.
• Data portability — You can export your data at any time.
• Data security — We implement industry-standard security measures.
• No data selling — We do not sell your data to third parties.
• Google Drive integration — Your images are stored in your own Google Drive.

9. Termination

9.1 Termination by You

You may terminate your account at any time by canceling your subscription from your account settings. Upon termination, your access to the Platform will cease at the end of the current billing period.

9.2 Termination by Us

We reserve the right to suspend or terminate your account at our discretion if:

• You violate these Terms.
• You fail to pay subscription fees.
• Your account is inactive for more than 12 months.
• We suspect fraudulent or illegal activity.

9.3 Effect of Termination

Upon termination, your access to JasperOps will be disabled, and we will delete or anonymize your data in accordance with our data retention policies. You may export your data before termination.

10. Refund Policy

JasperOps offers a 14-day free trial to allow you to evaluate the Platform before committing to a paid subscription.

Refund Policy:

• Free Trial: No payment is required during the 14-day free trial period.
• Paid Subscriptions: All paid subscriptions are non-refundable except as required by applicable law.
• Billing Errors: If you believe you have been incorrectly charged, please contact us within 30 days for resolution.

11. Disclaimer of Warranties

JasperOps is provided on an "AS IS" and "AS AVAILABLE" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including:

• Merchantability — Fitness for a particular purpose.
• Non-infringement — That the Platform does not infringe on third-party rights.
• Accuracy — That the data and information provided by the Platform are error-free.
• Uninterrupted service — That the Platform will be available 100% of the time without interruption.

12. Limitation of Liability

To the maximum extent permitted by law, JasperOps LLC shall not be liable for:

• Direct damages — Losses arising directly from the use of the Platform.
• Indirect damages — Loss of profits, revenue, data, or business opportunities.
• Consequential damages — Damages resulting from the loss of use or inability to use the Platform.
• Third-party claims — Claims arising from third-party actions or inactions.

Total liability: In any event, our total liability to you shall not exceed the total fees paid by you to JasperOps in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless JasperOps LLC and its officers, directors, employees, and affiliates from any claims, damages, liabilities, and expenses (including legal fees) arising from:

• Your use of the Platform in violation of these Terms.
• Your violation of applicable laws or regulations.
• Your infringement of third-party rights.
• Any Content you upload to the Platform.

14. Changes to Terms

We reserve the right to update these Terms from time to time. We will notify you of significant changes by:

• Email notification to your registered email address.
• Posting the updated Terms on the JasperOps website.
• In-app notification when you log in.

Your continued use of the Platform after such changes constitutes your acceptance of the updated Terms. If you do not agree to the changes, you should discontinue use of the Platform.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of Indonesia, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of Jakarta, Indonesia.

For international Users: If you are using JasperOps from outside Indonesia, you are responsible for complying with local laws. We make no representation that the Platform is appropriate or available for use in all locations.
